The shareholding companies is a very important role in most
countries of the world and are among the most influential
companies in the national economies so it is obvious that the failure
to meet their financial obligations and bankruptcy of the same
importance.
Arab and foreign legislation and jurisprudential opinions and
jurisprudence of the courts agreed that the founder is the owner of the
initiative in the establishment of joint stock companies, And differed in
determining the status of the founder between the broad concept, and
strait.
The government of companies is considered one of modern
concepts which appeared in the last decade of twentieth century
. Lately, it is interested by many advanced and undeveloped
counties as a result of many cases of administrative and financial
failure that grate companies in Us and east of Asia have faced .
So work should include mechanisms and system which enable to
control between bearers of companies shares and its
administrative committee besides ensuring the rights of all parties
that deal with the company and affected by its activity and
practices and this is known ( Government of Companies) .
The aim of this study to identify the impact of ownership’ structure criteria measured by
managerial ownership and ownership dispersion on corporate performance measured by
return on equity ROE, through sample contains of six Syrian private banks a
nd six Syrian
insurance companies for period between 2011 and 2016. The results showed that the
managerial ownership effects on performance, while ownership dispersion does not affect
on performance, as well as the relationship between these variables difference in term of
industry the company belongs to. To enhance the performance of Syrian corporation, some
recommendations have been presented by the end of study.
The study aimed to provide a new evidence of the importance and role of corporate
bonds to raise their effectiveness and ensuring its success and survival in the world of
business, through their ability to increase profits and maximize shareholder
wealth.
The study is a serious attempt to identify the viewpoint of the management of
shareholding corporations listed on the DSE about the impediments to launch their bond
even though of the advantages offered.
The study was applied on a clustered sample of corporations listed on the stock
exchange, according to the company sector, and the questionnaire to managers and heads
of departments, to test the study hypotheses and analyze them by using SPSS package
(Version 20), The study adopted the descriptive analytical approach. The following
conclusions were reached:
There is a relationship between shareholding corporations' awareness and
understanding of the advantages of bonds, and taking the decision by issuing them and the
fear of launching bonds being convinced of constraints. And the limitations of full
understanding of the advantages of bonds of the decision makers prevents launching of
bonds.
The study recommended the need to activate the bond market and encourage
shareholding corporations to issue bonds in particular as tax-exempt financial instrument
with the encouragement of the zero bond being suited to a wide range of investors and
savers we are witnessing currently and providing the necessary facilities and facilitate
necessary to launch bonds especially under current economics in Syria.
